1. Acceptance of Terms

Welcome to InvestorPilot ("the App," "the Service"), operated by Partiki ("we," "us," "our," or "the Company"). By downloading, installing, accessing, or using InvestorPilot, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Partiki. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

InvestorPilot is a virtual stock trading simulator that provides:

• A virtual portfolio funded with $100,000 in virtual (simulated) cash
• The ability to simulate buying and selling stocks using real-time market price data
• AI-powered behavioral coaching that analyzes your trading patterns and decision-making
• AI-generated Trade Intel providing market analysis snapshots for educational purposes
• Automated stop loss and take profit execution on virtual positions
• A leaderboard system where users can compare performance and follow other traders
• Push notifications related to your virtual portfolio and trading activity

The Service is available on iOS and Android platforms.

3. No Real Money — Virtual Portfolio Only

InvestorPilot is a simulation. All trading activity occurs in a virtual environment using simulated funds. Specifically:

• The $100,000 portfolio balance is virtual cash with no monetary value
• No actual securities transactions are placed with any exchange, broker, or market maker
• No real money is at risk at any time during use of the simulation features
• Virtual gains or losses have no real-world financial impact
• You cannot withdraw, transfer, or redeem virtual funds for real currency

4. Not Financial Advice — No Fiduciary Relationship

InvestorPilot is strictly an educational and entertainment tool. By using the Service, you acknowledge and agree that:

• We are not a registered broker-dealer, investment advisor, financial planner, or fiduciary
• We do not provide personalized financial advice, investment recommendations, or securities analysis
• No fiduciary, advisory, or professional-client relationship is created between you and Partiki
• Nothing in the App should be construed as a recommendation to buy, sell, or hold any security or financial instrument
• Any investment decisions you make with real money are solely your own responsibility
• Past performance in the simulator does not predict or guarantee future results in real trading
• You should consult a qualified financial advisor before making any real investment decisions

5. AI-Generated Content Disclaimer

InvestorPilot uses artificial intelligence to generate certain content and features, including but not limited to:

• AI Behavioral Coaching: Analysis of your trading patterns, emotional tendencies, and decision-making habits
• Trade Intel: Market analysis snapshots that compare your trade thesis to market data, analyst consensus, and fundamentals

You acknowledge and agree that:

• All AI-generated content is produced by artificial intelligence models and may contain inaccuracies, errors, or outdated information
• AI coaching insights are not professional financial, psychological, or behavioral advice
• Trade Intel is generated for educational purposes and should not be relied upon for real investment decisions
• AI outputs may reflect biases inherent in the underlying models and training data
• We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content
• You should independently verify any information provided by AI features before relying on it

6. Data Accuracy

Stock prices and market data displayed in InvestorPilot are obtained from third-party data providers, including Finnhub. You acknowledge that:

• Market data may be delayed, inaccurate, or incomplete
• Prices shown may differ from actual real-time market prices
• We do not guarantee the accuracy, timeliness, or reliability of any market data
• Data discrepancies may affect virtual portfolio valuations
• Third-party data providers may experience outages or errors that affect data availability

7. Account Registration and Security

To use InvestorPilot, you must create an account using a valid email address and password. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account
• Not create multiple accounts for the purpose of manipulating the leaderboard or service features

We use Firebase Authentication to manage user accounts. By creating an account, you also agree to Google's applicable terms of service for Firebase Authentication.

8. User Conduct and Prohibited Uses

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Manipulate the leaderboard, Investor Score, or other ranking systems through fraudulent activity
• Create multiple accounts to circumvent usage limits or gain an unfair advantage
• Attempt to reverse-engineer, decompile, or disassemble any part of the application
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Use automated scripts, bots, or scrapers to interact with the Service
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Harvest or collect user data without authorization
• Use the Service for any commercial purpose not authorized by us
• Post or transmit any content that is defamatory, obscene, abusive, or otherwise objectionable

9. Subscription Terms

9.1 Premium Subscription

InvestorPilot offers a Premium subscription at $0.99 per month, which provides additional features including unlimited trades, unlimited AI coaching, unlimited Trade Intel, and access to trader strategies.

9.2 Billing and Payment

Premium subscriptions are purchased as in-app purchases through the Apple App Store or Google Play Store. All billing and payment processing is handled by the respective app store. By subscribing, you agree to the payment terms of the applicable app store.

9.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. The renewal charge will be applied to your app store account within 24 hours prior to the end of the current period.

9.4 Cancellation

You may cancel your subscription at any time through your device settings:

• iOS: Settings > Apple ID > Subscriptions > InvestorPilot
• Android: Google Play Store > Subscriptions > InvestorPilot

Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

9.5 Refunds

Refund requests are subject to the policies of the Apple App Store or Google Play Store. We do not directly process refunds for in-app purchases.

10. Intellectual Property

All content, features, and functionality of the Service, including but not limited to the design, text, graphics, logos, icons, software, AI models and outputs, and the selection and arrangement thereof, are owned by Partiki, its licensors, or other providers and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms. You may not:

• Copy, modify, distribute, or create derivative works based on the Service
• Use any data mining, robots, or similar data-gathering methods
• Republish or redistribute AI-generated content for commercial purposes
• Remove any copyright, trademark, or other proprietary notices

11. Third-Party Services

InvestorPilot integrates with the following third-party services to provide its functionality:

• Firebase (Google): Authentication, database (Firestore), and cloud infrastructure
• OpenAI: AI-powered behavioral coaching, Trade Intel generation, and content analysis
• Finnhub: Real-time and historical stock market price data
• RevenueCat: Subscription management and in-app purchase processing
• Expo: Push notification delivery

Your use of the Service is also subject to the terms and privacy policies of these third-party services. We are not responsible for the practices or content of any third-party service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARTIKI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, or goodwill
• Financial losses resulting from reliance on information provided through the Service
• Investment decisions made based on AI coaching, Trade Intel, or any other feature
• Inaccuracies in stock price data or market information
• Service interruptions, downtime, or data loss
• Unauthorized access to or alteration of your data

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate, reliable, or complete
• AI-generated coaching, Trade Intel, or analysis will be accurate or suitable for any purpose
• Any errors in the Service will be corrected
• The Service will meet your specific requirements or expectations

14. Indemnification

You agree to indemnify, defend, and hold harmless Partiki and its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any investment decisions you make based on information obtained through the Service
• Any content you submit, post, or transmit through the Service

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Manipulation of leaderboard rankings or service features
• Extended inactivity

You may terminate your account at any time by contacting us or deleting your account through the app. Upon termination, your right to use the Service will immediately cease, and your virtual portfolio and trading data may be deleted.

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

If a dispute cannot be resolved through negotiation, you agree that any legal action or proceeding shall be brought exclusively in the courts of competent jurisdiction, and you consent to the jurisdiction of such courts.

You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect, by posting the updated Terms within the app or sending a notification.

What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after the effective date of any changes constitutes acceptance of the new Terms.

18. General Provisions

18.1 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

18.2 Waiver

The failure of Partiki to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

18.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Partiki regarding the Service and supersede all prior agreements.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
